Terms of Use
The rules for using almendracoffee.com. Catering, tastings, and other events are covered by a separate written Event Service Agreement.
Effective date: October 20, 2026
1. Agreement to These Terms
Welcome to Almendra. These Terms of Use (the "Terms") govern your access to and use of almendracoffee.com and any related pages, forms, newsletters, and online services we operate (together, the "Site"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Site.
These Terms govern your use of the Site only. Catering services, guided tastings, and other events are governed by a separate written Event Service Agreement, described in Section 3. If these Terms conflict with a signed Event Service Agreement, the Event Service Agreement controls as to that event.
2. Who We Are
The Site is owned and operated by Diego Sabogal & Co. LLC, a California limited liability company doing business as Almendra Coffee Pop-up Stand ("Almendra," "we," "us," or "our"). References to "you" or "your" mean the person accessing the Site and, where you act on behalf of a company or organization, that entity as well.
Eligibility
You must be at least 18 years old to submit an inquiry, request a quote, subscribe to communications, make a purchase, or enter into any agreement with us through the Site. If you use the Site on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Inquiries, Quotes, and Bookings
Inquiries are not bookings. Submitting an inquiry or booking request through the Site (including any form labeled "Secure My Dates," "Request Your Experience," or similar) does not reserve a date, guarantee availability, or create a contract. A request is an invitation for us to respond.
Quotes. Any quote we provide is an estimate based on the information you give us, including guest count, length of service, location, and requested add-ons. Unless the quote states otherwise, a quote is valid for thirty (30) days from the date it is issued. We may revise a quote if event details change.
Confirmed bookings. An event is confirmed only when both (a) you and Almendra have signed an Event Service Agreement, and (b) we have received the deposit required by that agreement. Deposits, payment deadlines, cancellations, rescheduling, weather, and on-site responsibilities are governed exclusively by the Event Service Agreement.
4. Pricing and Descriptions
Prices on the Site, including "starting at" prices, add-on prices, and package descriptions, are provided for general information. They may vary based on headcount, service length, location, season, and availability. They may change without notice and do not constitute an offer.
We work to describe our menus, packages, and experiences accurately. Photographs and descriptions are illustrative, and the presentation, glassware, cups, branding, and pastries served at your event may differ. The final scope of your event is the scope written in your Event Service Agreement. We are not bound by typographical or pricing errors on the Site.
5. Coffee Sourcing, Availability, and Substitutions
The specialty and rare coffees described on the Site, including those featured on our Tastings page, are sourced through third-party importers, roasters, and partners. References to specific farms, producers, regions, lots, varieties, or processing methods describe the coffees we intend to offer. They do not imply that any producer, farm, or partner endorses, sponsors, or is affiliated with Almendra.
Specialty coffee is an agricultural product. Harvests, auction lots, and limited releases are seasonal, scarce, and subject to change by our partners. If a featured coffee becomes unavailable, we may substitute a coffee of comparable quality, origin, or character. Tasting descriptions and flavor notes reflect our experience and may vary by roast date, brew method, and individual palate.
6. Allergens, Caffeine, and Dietary Information
Our menu may include, or be prepared alongside, ingredients that are common allergens or sensitivities. These include tree nuts (including almond), milk, oats, gluten, soy, eggs, spices, and fruits used in flavorings, co-fermented coffees, and pastries. Despite our name, "Almendra" refers to the coffee bean and not to the presence of almonds in any particular product.
Pastries and certain ingredients are produced by third-party bakeries and suppliers. Our cart and equipment are shared across menu items. We cannot guarantee that any item is free of allergens or cross-contact. If you or your guests have food allergies or dietary restrictions, you are responsible for informing us in writing before your event and for informing your guests.
Our beverages contain caffeine unless expressly labeled otherwise. Descriptions of low-caffeine or decaffeinated coffees are not a guarantee of any specific caffeine content. Anyone who is pregnant, nursing, sensitive to caffeine, under 18, or managing a medical condition should use their own judgment or consult a healthcare provider. Nothing on the Site is medical or nutritional advice.
7. Intellectual Property
The Site and its contents are owned by Almendra or its licensors and are protected by copyright, trademark, and other intellectual property laws. Its contents include the Almendra name, logo, and marks; illustrations, hand-lettering, and visual identity; text, menus, tasting cards, and descriptions; and photographs, graphics, and the design and arrangement of the Site.
You may view and print pages of the Site for your personal, non-commercial use, such as planning an event with us. You may not copy, reproduce, modify, distribute, publicly display, sell, or create derivative works from any Site content without our prior written permission. Nothing on the Site grants you any license to use our name, logo, or other marks.
8. Photographs and Visual Content
Licensed imagery. Some photographs and images on the Site are owned by third parties and used by Almendra under license. These images remain the property of their respective owners. You may not download, copy, extract, or reuse them for any purpose. Images may depict settings, equipment, people, or products that are representative of our services rather than taken at Almendra events.
Photographs taken at our events. We may photograph or record our cart, beverages, setup, and the general atmosphere at events we serve. These images may incidentally include clients and guests. Subject to the terms of your Event Service Agreement, we may use them on the Site, on our social media accounts, and in our marketing materials. We will not use a guest's image as the primary subject of advertising without that person's consent. To request that an image of you be removed from the Site or our social media, contact us at info@almendracoffee.com. We will remove it within a reasonable time.
Content you share with us. If you send us, tag us in, or otherwise share photographs, videos, reviews, or other content relating to Almendra ("Your Content"), you grant Almendra a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, and share Your Content, with credit where reasonably practicable, for the purpose of promoting Almendra's services. You represent that you own or have the right to share Your Content, and that anyone identifiable in it has consented to its sharing. You may ask us to stop future use of Your Content at any time.
9. Communications and Newsletter
When you submit an inquiry, we will contact you about your request using the contact information and preferred method you provide. If you subscribe to our newsletter or marketing emails, you agree to receive periodic messages about Almendra's events, offerings, and news. You may unsubscribe at any time using the link in any marketing email or by contacting us. Transactional messages about an active inquiry or booking are not marketing messages and are not affected by unsubscribing. We will not send marketing text messages unless you separately and expressly opt in.
10. Online Purchases
We may in the future offer bagged coffee, gift items, or other products, and accept payments, through the Site. Any such purchase will be subject to these Terms and to any additional terms presented at checkout, including pricing, taxes, shipping, returns, and refunds. If those additional terms conflict with these Terms, the checkout terms control for that purchase. Payments will be processed by third-party payment processors. We do not store full payment card numbers on our own systems. All orders are subject to acceptance and availability.
11. Privacy and Analytics
Our collection and use of personal information is described in our Privacy Policy. In summary, we use the information you submit to respond to inquiries and provide our services. We also use analytics tools to understand how visitors use the Site and to inform the marketing of Almendra's catering and tasting services. We use analytics data only to promote and improve Almendra's own services. We do not sell your personal information. By using the Site, you acknowledge the practices described in the Privacy Policy.
12. Third-Party Links and Services
The Site may link to or embed third-party websites and services, such as social media platforms, event partners, venues, and community organizations. We provide these links for convenience only. We do not control and are not responsible for their content, policies, or practices. A link does not imply endorsement, and your use of any third-party site is at your own risk and subject to that site's terms.
13. Acceptable Use
You agree not to:
- submit false, misleading, or fraudulent information, or inquiries made in another person's name without authorization;
- use the Site to send spam, unsolicited advertising, or harassing, defamatory, or unlawful content;
- interfere with or disrupt the Site, its security, or its hosting infrastructure, or attempt to gain unauthorized access to any part of it;
- use bots, scrapers, or other automated means to access, copy, or collect content or data from the Site;
- upload or transmit viruses or other malicious code; or
- use the Site in violation of any applicable law.
We may refuse service, decline inquiries, or restrict access to the Site at our discretion, including for any violation of these Terms.
14. Disclaimers
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ALMENDRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE. THESE INCLUDE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses, or that information on the Site is complete or current. Any warranties relating to events or products are set out only in the applicable Event Service Agreement or checkout terms.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ALMENDRA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). Claims relating to events are governed by the limitation of liability in the applicable Event Service Agreement.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful injury, gross negligence, or violation of law, as provided in California Civil Code section 1668.
16. Indemnification
You agree to defend, indemnify, and hold harmless Almendra and its members, managers, employees, and contractors from any claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of (a) your violation of these Terms, (b) Your Content, or (c) your violation of any law or the rights of any third party.
17. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Santa Cruz County, California, and you and Almendra consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from bringing a qualifying claim in small claims court.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on the Site and update the effective date above. Changes apply from the posted effective date. They do not apply to any Event Service Agreement already signed or any order already placed. Your continued use of the Site after changes are posted means you accept the revised Terms.
19. General
These Terms, together with the Privacy Policy and any applicable Event Service Agreement or checkout terms, are the entire agreement between you and Almendra regarding the Site. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent. We may assign them in connection with a merger, sale, or transfer of our business. Section headings are for convenience only.
